1.1 These terms govern the participation of registered charities ("you", the "Charity") in the Downsizr donation service, through which our clients ("Owners") offer items to charitable organisations at no cost
1.2 These terms supplement the Downsizr Partner Terms and the Downsizr Terms of Service. Where these terms conflict with the Partner Terms on any matter concerning donations, these terms prevail. In particular, the fee, commission, and payment provisions of the Partner Terms do not apply to donations – see section 4
1.3 By ticking the acceptance box during signup, you agree to these terms on behalf of the Charity and confirm you are authorised to do so
2.1 To register, you provide your charity's name, country, registration number, a contact person, and an address. The registration number we ask for depends on your country: a Charity Commission number in the United Kingdom, an Employer Identification Number in the United States, an Australian Business Number in Australia, or the equivalent register number elsewhere. We currently accept charities in the United Kingdom, the United States, Ireland, Australia, and Canada
2.2 Every application is reviewed by Downsizr before approval. Until your profile is approved you will not be invited to donations and cannot accept them. We may decline or revoke approval at our discretion, acting reasonably
2.3 After signup you tell us which categories of item you accept, whether you offer collection, and how far you are willing to travel, from ten miles up to nationwide. We use these preferences to decide which donations to offer you. You can update them at any time
2.4 You warrant that the registration details you provide are accurate and that you will keep them up to date. Providing a registration number that does not belong to your organisation is grounds for immediate removal
3.1 When an Owner chooses to donate an item, Downsizr invites one or more approved charities whose preferences match the item. An invitation is an offer to consider, not a commitment by anyone
3.2 If you would like the item, you accept the invitation and indicate how collection or delivery might work. You have fourteen days from the invitation to respond. Accepting does not guarantee you will receive the item: several charities may accept, and the Owner chooses one
3.3 If the Owner selects your charity, you and the Owner then arrange the handover. Either of you may record the arrangement, which will be one of: your charity collects from the Owner, the Owner delivers to you, the Owner ships at their own cost, or the Owner ships at your cost. Nothing is binding on either side until the arrangement is recorded
3.4 The donation completes when you confirm that the item has been received. Your confirmation is the binding step: it creates the permanent donation record described in section 5, marks the item as donated, and cannot be reversed through the platform. Please confirm receipt only once the item is genuinely in your possession
4.1 Donations are free. Downsizr charges the Charity nothing to join, nothing to accept a donation, and no commission or fee of any kind on donated items. The Owner is likewise not charged for donating
4.2 No money moves through Downsizr on a donation. There is no payment to make or receive, no payout, and no held funds. The delayed-payout arrangements that apply to paid partner transactions elsewhere on the platform have no application to donations
4.3 Where the handover arrangement involves shipping at your cost, that cost is a matter between you and your chosen carrier; Downsizr is not party to it
5.1 When you confirm receipt, Downsizr creates a permanent donation record. This record is our commitment to the donor: it is the evidence they rely on for their charitable-giving records and, where applicable, their tax affairs
5.2 The record captures, at the moment of donation: your charity's name, registration number, and country; the item; the confirmed value and currency; how the value was arrived at; the collection arrangement; and the date. These details are a snapshot taken at the time of the donation. If your charity later changes its name or details, past records are not rewritten – they remain an accurate account of the donation as it happened
5.3 One donation record exists per donation. It cannot be edited or deleted through the platform. If you believe a record contains an error, contact support@downsizr.com and we will investigate
6.1 When confirming receipt you may attach a donation receipt for the Owner. Receipts must be uploaded through the platform, which stores them on our secure media host. Links to documents hosted elsewhere are not accepted; this protects Owners from being sent to unfamiliar sites from within their account
6.2 The receipt you attach is shown to the Owner in their account as a link alongside the donation record, and remains available to them. Please make sure any receipt you issue is accurate and reflects your charity's own receipting obligations in your jurisdiction
7.1 The value recorded against a donation is confirmed by the Owner before the handover. It is based either on the platform's automated estimate or on the Owner's own figure. It is an estimate for record-keeping, not a professional valuation, and Downsizr does not warrant it for any purpose
7.2 Downsizr provides donation records and annual summaries to Owners as a convenience. For Owners in the United Kingdom the summary follows the tax year running 6 April to 5 April; elsewhere it follows the calendar year. Your charity's name and registration number appear in these summaries
7.3 Nothing Downsizr provides is tax advice, to you or to the Owner. Whether a donation is deductible, and what receipting rules apply, is a matter for each party's own advisers. Gift Aid, where relevant, is entirely between you and the donor; Downsizr plays no part in it
8.1 Before the Owner selects a charity, the Owner may withdraw the donation at any time and you may simply decline or let the invitation lapse
8.2 After you have been selected, you may still withdraw at any point before the item is in transit. If you withdraw, the donation re-opens so the Owner can choose another charity that accepted. Please withdraw promptly if you cannot proceed – Owners are often working to a moving-house timetable
8.3 The Owner may cancel at any point before the item is in transit. Neither party can cancel while the item is in transit, and a completed donation cannot be cancelled
9.1 You will deal with Owners courteously and honestly, honour the collection arrangements you agree, and confirm receipt promptly and truthfully
9.2 You will not use the donation service to solicit Owners for purposes unrelated to the donation, nor charge an Owner anything in connection with a donation
9.3 You remain responsible for your own regulatory compliance as a charity, including receipting, safeguarding, and the treatment of donated goods once received. Once you confirm receipt, the item is yours: risk and responsibility pass to you at handover
10.1 Our Privacy Policy explains how we handle personal data. In addition, you should know that: your charity's name, registration number, mission statement, and collection preferences are shown to Owners considering you; your name and registration number are embedded permanently in donation records and Owner tax summaries as described in sections 5 and 7; and your contact details are shared with the Owner as needed to arrange a handover
10.2 If you are in the United States, the California-specific provisions of our Privacy Policy apply to personal information of California residents
11.1 Downsizr introduces Owners and charities and keeps records; we are not party to the donation itself. The donation is a gift from the Owner to you
11.2 Downsizr is not liable for the condition, authenticity, safety, or fitness of donated items, for an Owner's failure to complete a handover, or for the accuracy of any value estimate. Nothing in these terms excludes liability that cannot be excluded by law
12.1 You may close your charity profile at any time. Donations already in progress should be completed or withdrawn from first
12.2 We may suspend or remove a charity that breaches these terms, provides false registration details, or acts in a way that harms Owners or the service. Donation records already created survive removal, as our commitment to donors under section 5
13.1 These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them
13.2 If you are a charity in the United States, this choice of law does not displace mandatory protections or filing obligations that apply to you under the law of your state of registration
