These terms apply in addition to the Downsizr terms of service and, where you also act as a partner, the partner terms
These terms govern the relationship between Downsizr and businesses that use the professional service to manage the disposition of items on behalf of their own clients (each a "professional"). If you hold a professional account, these terms form part of your contract with us
Your clients remain consumers. Each client who registers as an owner contracts with Downsizr directly under the consumer terms of service, and nothing you do on their behalf can reduce or waive their statutory consumer rights
These are business terms. The consumer protections of the Consumer Rights Act 2015 (UK) and, for US users, the California Consumers Legal Remedies Act do not extend to your business relationship with Downsizr
The professional service is currently available by invitation and at our discretion. We may decline, pause or withdraw access to professional registration at any time
To apply, you provide your name, email address and company name; a website and LinkedIn profile are optional. Applications are reviewed by our team. We may approve or decline an application, and if we decline we will tell you why. You may hold one professional account per business
When your application is approved, a free trial begins. The trial lasts 14 days from the date of approval, not from the date you applied
We will remind you a few days before your trial ends. If the trial ends and you have not chosen a paid plan, access to the professional workspace pauses until you subscribe. Your projects and records are retained – nothing is deleted when a trial lapses, and choosing a plan restores access
The professional service is offered on three monthly plans. Each plan includes a number of active projects and team seats (the seat count includes you)
| Plan | Active projects | Team seats |
|---|---|---|
| Starter | 1 | 2 |
| Professional | 5 | 5 |
| Business | effectively unlimited | 15 |
Allowances are enforced when you create a project or invite a team member. We may adjust allowances from time to time; changes that reduce an allowance will not remove access to projects or team members you already have
Every plan includes the professional workspace: the dashboard, project management (creation, editing, a project board, archiving, transfer and export), team management, time recording, invoicing records and client invitations. We do not promise features that are not yet part of the service
Current monthly prices are shown on the subscription page and at checkout before you commit. Billing is in pounds sterling or US dollars, according to the location on your account. Prices may be subject to applicable tax, which is shown at checkout
Payment is by card through Stripe, our payment provider. Your subscription starts, and access to your chosen plan is confirmed, once your first payment succeeds. Your card is then charged automatically each month
We may change plan prices. If a price change affects your existing subscription we will give you reasonable notice before it takes effect, and you may cancel before the new price applies
You may move between plans at any time. Plan changes are prorated in both directions – you pay, or are credited, only the difference for the remainder of the billing period
You may cancel at any time. There is no minimum term. When you cancel, your access continues until the end of the billing period you have already paid for, and no further payments are taken. We do not refund the remainder of a part-used month
If a renewal payment fails, Stripe retries collection and your access continues during a short grace period. If payment cannot be collected, your subscription ends and access to the professional workspace pauses until you subscribe again. Your data is retained in the meantime
You may arrange for your clients to register as owners on Downsizr and to grant you shared access to their accounts, or to participate in your projects. You are responsible for:
You may not charge a client a fee for Downsizr services that we do not permit you to charge, and you may not present Downsizr services in a misleading way
Downsizr never holds client money on account. Where a sale or purchase is settled through the platform, funds are held by Stripe and released as a delayed payout once the contractual trigger is met – for example once collection of an item is confirmed. If a transaction is disputed, released amounts may be recovered under the dispute process. The details are set out in the terms of service and, where relevant, the partner terms
When a client grants you shared access, you can see that client's account data while the access is active. In respect of your clients' personal information you act as a separate controller, and your own privacy practices apply alongside ours. Our privacy policy explains how Downsizr handles personal information, including the shared-access provisions
You must keep your account details accurate, keep your login credentials secure, and use the service only for genuine client work. We may suspend or end access for misuse, for breach of these terms, or where we reasonably believe your use puts clients or the platform at risk. Where we do so, we will tell you why unless the law prevents us
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our liability to you under these terms in any 12-month period is limited to the subscription fees you paid to us in that period. We are not liable for losses caused by your own dealings with your clients
We may update these terms from time to time. If a change is material we will give you reasonable notice by email or through the service before it takes effect. If you do not accept a material change you may cancel under section 6 before it applies
These terms are governed by English law, and the courts of England and Wales have jurisdiction. If you are a US-based professional, mandatory provisions of the law of your state, including California where applicable, may also apply to the extent they cannot be contracted out of
Questions about these terms or your professional account can be sent to our support team through the service
